By accessing or using SafeReq's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site and services.
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "you" or "your") and SafeReq Inc. ("SafeReq," "we," "us," or "our"), a California corporation, governing your access to and use of the SafeReq platform, including all associated websites, applications, tools, and services (collectively, the "Services").
By creating an account, clicking "I agree," or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.
We may update these Terms from time to time in accordance with Section 12. Your continued use of the Services after any such changes constitutes acceptance of the revised Terms.
SafeReq provides California job posting compliance analysis tools, including automated analysis (JobReqIQ) and optional manual review services. Our Services are informational tools designed to assist with compliance analysis.
The Services include the following features, which may vary depending on your account tier:
SafeReq identifies potential areas of concern in your job requisitions. The Services do not guarantee compliance with any law, regulation, or standard. Analysis results are informational in nature and are not a substitute for professional legal counsel. You may want to consider reviewing any findings with a qualified attorney before making employment decisions based on analysis results.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will use commercially reasonable efforts to provide advance notice of material changes to the Services.
IMPORTANT: SafeReq is not a law firm and does not provide legal advice. Our Services, content, and communications are for informational purposes only and do not constitute legal advice or create an attorney-client relationship.
SafeReq's analysis results, findings, severity ratings, and citations are generated by automated software and, where applicable, human reviewers. These outputs are intended to help you identify potential issues in your job requisitions, but they are not legal opinions and should not be treated as such.
Specifically, you acknowledge and agree that:
We strongly recommend that you consult with a licensed California employment attorney regarding any legal questions or concerns arising from your use of the Services, including the interpretation of any analysis results or findings.
To access certain features of the Services, you must create an account. When you register, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Services. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You are responsible for safeguarding the password and any other credentials used to access your account. You agree not to share your account credentials with any third party. You must notify SafeReq immediately at support@safereq.com if you become aware of any unauthorized access to or use of your account.
We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if required by law. Upon termination, your right to use the Services ceases immediately. Any unused credits at the time of termination for cause are forfeited and are not refundable.
SafeReq uses a credit-based billing model. Credits are purchased as one-time transactions and are consumed when you use paid features of the Services. SafeReq does not offer recurring subscriptions for credits at this time.
Credits may be purchased through the SafeReq platform at the prices displayed at the time of purchase. All credit purchases are processed by our third-party payment processor, Stripe. SafeReq does not directly collect, store, or process credit card numbers or payment account details. By making a purchase, you agree to Stripe's terms of service.
Credits are deducted from your account balance when you initiate a paid analysis. Each analysis opens a 24-hour analysis window during which you may access the full results, including findings, citations, and PDF reports. Credit balances are calculated from an append-only transaction ledger. Credits do not expire unless otherwise stated at the time of purchase or as part of a promotional offer.
Prices for credits and Services are as listed on the SafeReq website at the time of purchase. SafeReq reserves the right to change pricing at any time. Price changes do not affect credits already purchased. All prices are listed in U.S. dollars. You are responsible for any applicable taxes.
Due to the nature of digital services, all credit purchases are generally non-refundable once credits have been consumed. If you experience a technical issue that prevents an analysis from completing after credits have been deducted, please contact support@safereq.com and we will review your request on a case-by-case basis. Unused credits may be eligible for a refund within 30 days of purchase, subject to our discretion.
You retain all ownership rights to the job requisition text and other content you submit to the Services ("User Content"). By submitting User Content, you grant SafeReq a limited, non-exclusive, worldwide, royalty-free license to use, process, and analyze your User Content solely for the purpose of providing the Services to you, including generating analysis results and improving the accuracy of our analysis engine.
Analysis results generated by the Services, including findings, severity ratings, and citations, are provided to you for your internal use. You may share analysis results within your organization or with your legal counsel. You may not resell, redistribute, or publicly publish analysis results in a manner that competes with SafeReq's Services.
We retain your User Content and analysis results in accordance with our Privacy Policy. Anonymous analyses are retained for 24 hours. Registered user data is retained for the duration of your account and for a reasonable period thereafter as required by law or legitimate business purposes. You may request deletion of your data in accordance with applicable privacy laws.
We may use aggregated, anonymized, or de-identified data derived from your use of the Services for purposes such as improving our analysis engine, generating industry benchmarks, and developing new features. Such aggregated data will not identify you or your organization.
You agree to use the Services only for lawful purposes and in accordance with these Terms. For detailed acceptable use requirements, please also review our Acceptable Use Policy, which is incorporated into these Terms by reference.
You agree not to:
Violation of this Section 7 may result in immediate suspension or termination of your account, forfeiture of unused credits, and potential legal action.
The Services, including the SafeReq platform, JobReqIQ analysis engine, all software, algorithms, rulesets, user interfaces, designs, text, graphics, logos, and trademarks, are the exclusive property of SafeReq Inc. or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services beyond the limited license to use the Services as described herein.
Subject to your compliance with these Terms, SafeReq grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to modify, copy, distribute, sell, or create derivative works based on any portion of the Services.
If you provide SafeReq with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant SafeReq a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SafeReq expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Without limiting the foregoing, SafeReq does not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAFEREQ INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF SAFEREQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SafeReq's total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total amount you paid to SafeReq in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).
You agree to indemnify, defend, and hold harmless SafeReq Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any employment decisions you make based on or related to analysis results provided by the Services.
You may terminate your account at any time by contacting us at support@safereq.com or through the account settings in the Services. Upon termination of your account, your right to access the Services ceases immediately.
SafeReq may suspend or terminate your account or access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, fraudulent activity, extended inactivity, or as required by law.
Upon termination:
The following sections survive termination: Sections 3 (Not Legal Advice), 6.4 (Aggregated Data), 8 (Intellectual Property), 9 (Disclaimers and Limitations), 10 (Termination), 11 (Governing Law), and any other provisions that by their nature should survive.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Before initiating any formal dispute resolution proceeding, you agree to first contact SafeReq at legal@safereq.com and attempt to resolve the dispute informally for at least thirty (30) days.
If the dispute cannot be resolved informally, you and SafeReq agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in San Francisco, California, and shall be conducted in English. The arbitrator's decision shall be final and binding.
You and SafeReq agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and SafeReq each waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims within the jurisdiction of small claims court may be brought in San Francisco County, California.
SafeReq reserves the right to modify these Terms at any time. When we make material changes, we will provide notice through one or more of the following methods:
Material changes will be effective thirty (30) days after notice is provided, unless a longer period is required by applicable law. Non-material changes (such as clarifications or formatting updates) may be effective immediately upon posting.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may terminate your account in accordance with Section 10.
These Terms, together with our Privacy Policy, Acceptable Use Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and SafeReq regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
No waiver of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or any other term. SafeReq's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under these Terms without SafeReq's prior written consent. SafeReq may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
SafeReq shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.
